1. Introduction and Acceptance
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Quorinth ("Company," "we," "us," or "our") governing your use of our property rental advisory services and website.
By engaging our services, submitting inquiries through our website, or communicating with our team regarding property rental matters, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any provision of these Terms, you should not use our services.
These Terms apply to all individuals and entities who engage with Quorinth for property rental advisory services in Kuala Lumpur, Malaysia, whether as individual tenants, corporate clients, or authorized representatives.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- "Services" refers to all property rental advisory, consultation, viewing coordination, lease facilitation, and ongoing tenancy support provided by Quorinth.
- "Property Owner" refers to the legal owner of a residential property listed through our services.
- "Tenancy Agreement" refers to the legal contract between you and a Property Owner for the rental of a residential property.
- "Service Fee" refers to any fees charged by Quorinth for our advisory services, as separately agreed in writing.
- "Personal Data" has the meaning ascribed to it under the Personal Data Protection Act 2010 of Malaysia.
3. Service Description
3.1 Advisory Services
Quorinth provides property rental advisory services including:
- Consultation to understand your residential requirements
- Property matching based on your stated preferences
- Coordination of property viewings
- Facilitation of lease negotiation and execution
- Advisory support during the tenancy period
3.2 Role as Intermediary
Quorinth acts as an intermediary between you and Property Owners. We do not own the properties we present and are not parties to Tenancy Agreements. Final tenancy terms are established directly between you and the Property Owner, subject to their approval and acceptance.
3.3 Service Limitations
While we endeavor to provide accurate information, we do not guarantee that any particular property will be available, that a Property Owner will accept your application, or that a tenancy will proceed to completion. Our services are advisory in nature and do not constitute guarantees or warranties regarding property condition, suitability, or rental outcomes.
4. Client Responsibilities
4.1 Accurate Information
You agree to provide accurate, complete, and current information regarding your residential requirements, financial capacity, and personal details. You acknowledge that Property Owners rely on the accuracy of information you provide when considering rental applications.
4.2 Good Faith Engagement
You agree to engage with our services in good faith, including attending scheduled viewings when committed, responding to communications in a timely manner, and proceeding with lease execution if you have indicated intent to do so.
4.3 Legal Capacity
You represent that you are at least 18 years of age and have the legal capacity to enter into binding tenancy agreements under Malaysian law. If you are acting on behalf of a corporate entity, you represent that you have the authority to bind that entity.
4.4 Property Viewing Conduct
During property viewings, you agree to treat properties with respect, follow building rules and regulations, and not engage in any conduct that could damage the property or disturb other residents.
5. Fees and Payment Terms
5.1 Service Fees
Our service fees, if applicable, are disclosed in writing before you engage our services. Payment terms, including timing and method, are specified in the separate service agreement or engagement letter.
5.2 Property Owner Fees
Rental payments, security deposits, and other charges payable to Property Owners are separate from our service fees and are governed by the terms of your Tenancy Agreement with the Property Owner.
5.3 Payment Obligations
All fees are payable in Malaysian Ringgit (RM) unless otherwise specified. Payment obligations survive termination of our services for fees incurred prior to termination.
6. Property Information and Representations
6.1 Information Sources
Property information provided to you is obtained from Property Owners, building management, and our own inspections. While we strive for accuracy, we cannot guarantee that all information is complete, current, or error-free.
6.2 Personal Verification
You are responsible for conducting your own inspection and verification of any property before committing to a tenancy. We recommend that you personally view properties, review building facilities, and assess neighborhood characteristics before making rental decisions.
6.3 No Warranties
We make no warranties regarding property condition, fitness for particular purposes, or compliance with specific requirements. Property suitability is determined solely by you based on your own assessment.
7. Tenancy Agreements
7.1 Independent Contracts
Tenancy Agreements are executed directly between you and Property Owners. Quorinth facilitates the preparation and execution of these agreements but is not a party to them.
7.2 Legal Review
While we coordinate legal review of Tenancy Agreements through our network of legal advisors, you are responsible for ensuring you understand all terms before signing. You have the right to seek independent legal counsel at your own expense.
7.3 Dispute Resolution
Disputes arising from Tenancy Agreements are between you and the Property Owner. While we may facilitate communication, we are not obligated to mediate disputes and cannot compel either party to particular outcomes.
8. Intellectual Property
All content on our website, including text, graphics, logos, images, and software, is the property of Quorinth or our licensors and is protected by Malaysian and international copyright laws.
You may view and use website content for personal, non-commercial purposes related to evaluating our services. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
Property images and descriptions provided for viewing purposes remain the property of respective Property Owners and may not be used for purposes other than evaluating rental opportunities.
9. Privacy and Data Protection
Your use of our services is subject to our Privacy Policy, which is incorporated into these Terms by reference. We process your personal data in accordance with the Personal Data Protection Act 2010 of Malaysia.

10. Limitation of Liability
10.1 Service Provision
Our services are provided on an "as is" and "as available" basis. We do not warrant that services will be uninterrupted, error-free, or that defects will be corrected.
10.2 Disclaimer of Warranties
To the maximum extent permitted by Malaysian law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10.3 Limitation of Damages
In no event shall Quorinth be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages.
10.4 Maximum Liability
Our total liability to you for any claims arising from our services shall not exceed the amount of service fees you have paid to us in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Quorinth, our officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any rights of third parties.
12. Termination
12.1 Termination by You
You may discontinue use of our services at any time by providing written notice. Termination does not relieve you of payment obligations for services already rendered.
12.2 Termination by Us
We reserve the right to terminate or suspend our services to you if you breach these Terms, provide false information, or engage in conduct we deem inappropriate or harmful to our business interests.
12.3 Effect of Termination
Upon termination, your right to use our services ceases immediately. Provisions regarding fees, liability limitations, indemnification, and dispute resolution survive termination.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Malaysia. Any legal action or proceeding arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
13.2 Informal Resolution
In the event of any dispute, we encourage you to contact us first to seek an informal resolution. Many disputes can be resolved through good-faith discussion.
13.3 Mediation
If informal resolution is unsuccessful, both parties agree to attempt mediation through a mutually agreed mediator before pursuing formal legal action.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and Quorinth regarding our services and supersede all prior agreements and understandings.
14.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14.3 Waiver
No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right under these Terms shall not constitute a waiver of that right.
14.4 Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms to any successor or affiliate without restriction.
14.5 Notice
Any notices required under these Terms shall be provided in writing to the contact information you have provided to us or to our address listed below.
15. Amendments
We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website with a revised "Last Updated" date. Material changes will be communicated to active clients via email.
Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically to stay informed of any updates.
